LAW 742 - Health Care Transactions The complex regulatory and reimbursement environment of health care impacts transactions by health care providers. This course shall examine key corporate and regulatory concepts and integrate core federal and state laws into the choice and use of corporate structures and operational strategies of transactions. The course will examine healthcare transactions from the perspectives of a hospital, physicians, and other healthcare providers.
By the conclusion of the course students should: be knowledgeable about the environment facing health care providers on transactions; understand the interconnection between business strategy and legal issues; understand multi-corporate organizational structures and be able to advise on their design and implementation; understand federal and state tax-exemption law and its impact on business transactions; understand federal fraud and abuse and self-referral laws and their impact on physician integration and related corporate strategies; and understand relevant state law that impacts hospital and hospital-physician transactions.
The course is intended to focus on practical application of the precepts on transactions. Grading will be based on transactional documents based on a fact pattern and on class participation.
