LAW 364 - Leveraged Finance Seminar The $1.2 trillion syndicated loan market rises and falls based on the terms and conditions lawyers draft into credit agreements and bond indentures. Over the past 6 years, the loan market has evolved drastically as borrower lawyers face off against lender lawyers in structuring distressed transactions and then fighting over the fallout in state and federal litigation. Ultimately, it is contracts and the covenants therein that govern the legality of distressed transactions and decide who wins and who losses.
This class will provide an overview of the leveraged loan market, how credit document terms often decide the fate of companies in distress and how companies can leverage loose document language to execute liability management transactions to provide a second lease on life.
This class will highlight the principles of contracts, secured transactions and bankruptcy and demonstrate, through real-world examples, how the rules of law come to life and how borrowers and lenders use the legal principles to ensure their interests are protected.
Importantly, this class will also focus on the litigation that so often arises from distressed transactions, including the J. Crew “trapdoor” litigation, the Neiman Marcus spinoff lawsuit and the Serta Simmons “priming” case.
