LAW 363 - Applied Corporate Restructuring & Special Situations Strategy This advanced business law course will provide students with an introduction to restructuring strategies (both in and out of court) as well as an overview of broader considerations for advising corporations facing financial distress or other unique challenges.
Doctrinally, the primary focus will be on the bankruptcy code, with associated discussion of the UCC, securities law as well as corporate law (particularly as it pertains to governance and fiduciary duties). The course will draw on business, strategy and finance concepts to help students develop a holistic analytical framework for advising companies during periods of crisis. Prior completion of LAW 306 Bankruptcy and/or LAW 320 Business Associations are encouraged. Students who did not take those classes will be assigned background reading.
